Sponsor’s Agreement for obtaining sponsor’s byline on an article

This is an Agreement between the sponsor of an article, Tavernator, Inc., and Beertheostory, Inc.

The sponsor agrees that by checking the “I Agree” box and identifying an article for which it wishes to purchase a sponsors byline on www.tavernator.com, the sponsor is agreeing to accept the following terms for publication and sponsorship of said article:

The sponsor shall pay to Tavernator, Inc., the sum of $150.00, unless otherwise agreed to in writing. (For the edification of the sponsor, 60% of that money goes to the author, 20% to the sales person who sold you the sponsorship and 20% to the company.)

Tavernator, Inc., agrees that it will make every reasonable effort to ensure that the sponsor byline when clicked upon by the general public, shall link to the sponsors website or provide a box with the sponsor’s contact information. If this link fails the sponsor agrees that it shall accept Tavernator, Inc.’s, resolution of the link failure, unless otherwise agreed to in writing.

Tavernator, Inc., agrees that it will make every reasonable effort to ensure that the sponsored article remains available to the public as long as Tavernator, Inc., runs the website upon which the article appears.

Tavernator, Inc., agrees that the sponsorship of the article is a limited license for the sponsor, in that the sponsor byline shall remain with the article throughout the article’s life on the Tavernator, Inc., website. The sponsor understands that Beertheostory, Inc., owns the copyright interests in the article, and licenses those rights exclusively to Tavernator, Inc. Tavernator, Inc., shall exercise reasonable editorial discretion over the content and writing style in the article. Tavernator, Inc., reserves the right to cite, re-publish sections of the article or otherwise utilize the article for any purposes it deems appropriate on a Tavernator, Inc., website or advertising campaign, without the sponsor byline. Tavernator, Inc., further reserves the right to allow an article to be re-published in other forums, without the sponsor byline.

This limited license shall allow the sponsor to sell its byline sponsorship at anytime after purchasing the sponsor byline with the following limitations. The sponsor shall re-sell the sponsor byline through the Tavernator, Inc., website, meaning payment shall be made to Tavernator, Inc., and 50% of the proceeds of the re-sold sponsorship byline shall belong to Tavernator, Inc., unless otherwise agreed to in writing. (The other 50% shall belong to the sponsor.) (Once again, 60% of that money goes to the author, 20% to the sales person who re-sold the sponsorship or whose zone the sponsorship was sold from, and 20% to the company.)

Tavernator, Inc., agrees that it will make all reasonable efforts to match the sponsorship byline with the article identified by the sponsor. If there is a mismatch of sponsor to an article the sponsor agrees that it shall either accept Tavernator, Inc.’s, resolution of the mismatch or a full refund of the payment made to Tavernator, Inc., less any third party transaction fees. The potential sponsor agrees that by entering this agreement, it is waiving any other claim it believes may have arisen as a result of a mismatch of a sponsorship.

Tavernator, Inc., agrees to make reasonable efforts to post the sponsors byline with the article within 48 hours of receipt of payment for the sponsors byline.

For the purposes of this agreement acceptable notice shall include notice by e-mail, oral in person notice, oral notice by telephonic means or written notice sent by first class US. Mail or other reasonable means of delivering written hard copy notice.

The sponsor further agrees that it will not re-publish the article or excerpts of it without the express written permission of Tavernator, Inc. Such permission shall be determined at Tavernator, Inc.’s, reasonable discretion.

Tavernator, Inc., warrants that to the best of its knowledge it owns all intellectual property interests in the article selected for sponsorship.

The sponsor agrees that any damages arising from a sponsorship of an article, attributable to Tavernator, Inc., shall be limited to the value of the sponsorship agreement.

Tavernator, Inc., agrees to make payments within 90 days of publication or re-sale of the article.

This agreement shall be governed under New York Law.

By entering this agreement the sponsor is agreeing, if a dispute arises requiring court intervention, to accept the exclusive jurisdiction of the United States District Court or an appropriate court in Rockland County New York, if the matter does not qualify for United States Court jurisdiction, unless otherwise agreed to in writing.

Any ambiguity in this agreement shall not be construed against the creator of this agreement, Tavernator, Inc., but shall be interpreted based upon the individual facts of the matter, the intent and spirit of this agreement and other aspects of New York contract law.
