Author’s Agreement for submitting article for Sponsorship
This is an Agreement between the author of an article and Tavernator, Inc., and Beertheostory, Inc.
The author agrees that by checking the “I Agree” box and submitting an article for publication on www.tavernator.com, he/she is agreeing to accept the following terms and make the following representations for publication and sponsorship of said article:
Tavernator, Inc., maintains the exclusive right to determine the sponsor for any article submitted for sponsorship.
Tavernator, Inc., agrees it will pay the author 60% of the price of the initial sale of a sponsorship and that it will generally try to sell that sponsorships at $150.00 or $90.00 for the author, unless otherwise agreed to in writing by the author and Tavernator, Inc.
If a sponsorship is re-sold, the author will be entitled to 30% of the resale price.
In exchange for sponsored publication or publication with the opportunity for sponsorship the author agrees that Beertheostory, Inc., owns the copyright interests in the article, and licenses those rights to Tavernator, Inc. The author agrees that Tavernator, Inc., shall have the right to exercise reasonable editorial discretion over the content and writing style in the article. Tavernator, Inc., agrees that it shall make efforts to review any exercise of editorial discretion with an author prior to publication, but the author agrees that any such failure to engage in these efforts shall not be actionable under this agreement. Tavernator, Inc., further reserves the right to cite, re-publish or otherwise utilize the article for any purposes it deems appropriate on a Tavernator, Inc., website or advertising campaign, without notice to the author. Tavernator, Inc., further reserves the right to allow an article to be re-published in other forums, after notice to the author.
For the purposes of this agreement acceptable notice shall include notice by e-mail, oral in person notice, oral notice by telephonic means or written notice sent by first class US. Mail or other reasonable means of delivering written hard copy notice.
The author further agrees that it will not re-publish the article or excerpts of it, for remuneration or other commercial purposes, without the express written permission of Tavernator, Inc. Such permission shall be determined at Tavernator, Inc.’s, reasonable discretion.
The author warrants that the article he/she is submitting is his/her own work, that he/she has the right to submit the article for publication. The author further warrants that the article does not infringe on the copyright interests of another author, person or entity, and that the author submitting the article for publication shall indemnify Tavernator, Inc., for any damages caused by the author’s infringement on another author’s, person’s or entity’s copyright. Such indemnification shall include reeasonable attorney’s fees.
Tavernator, Inc., agrees to make payments within 90 days of publication or re-sale of the article.
This agreement shall be governed under New York Law.
By entering this agreement the author is agreeing, if a dispute arises requiring court intervention, to accept the exclusive jurisdiction of the United States District Court or an appropriate court in Rockland County New York, if the matter does not qualify for United States Court jurisdiction, unless otherwise agreed to in writing.
Any ambiguity in this agreement shall not be construed against the creator of this agreement, Tavernator, Inc., but shall be interpreted based upon the individual facts of the matter, the intent and spirit of this agreement and other aspects of New York contract law.
